End User License Agreement
Last updated: October 1, 2026
This End User License Agreement (“Agreement”) is a binding contract between you (“you” or “Customer”) and IxScale LLC, a Colorado limited liability company (“ixScale,” “we,” “us”), governing your use of the ixScale desktop application and any related services (together, the “Software”). By installing, activating, or using the Software, you agree to be bound by this Agreement. If you do not agree, do not install or use the Software.
1. License Grant
Subject to your compliance with this Agreement, ixScale grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the Software, for your own internal or personal purposes, under one or more of the following license types:
- Trial License — a free 90-day evaluation license granted with each new account. ixScale may, at its discretion, offer extensions, and may stop offering them at any time.
- Commercial License — a paid license for the term you've purchased.
- Education License — a free 1-year license for students, professors, and staff at an accredited school. An Education License is granted either (a) after our review of evidence of your enrollment or employment that you submit to us, or (b) by an authorized administrator of an institutional license pool who vouches for your eligibility on our behalf, in which case no evidence is collected from you at the time the license is granted. In either case the eligibility requirements in Section 2 apply, and we may require you to verify your eligibility individually at any time (see Section 2).
An account may hold a Commercial License, an Education License and a Trial License at the same time. While more than one is active, the one that governs your use is, in order: the Commercial License, then the Education License, then the Trial License.
The Software may be activated on at most two (2) devices at a time per account. Deactivating a device frees that slot for another. The Software periodically verifies your license with our servers and can operate offline for a limited window between checks; it will stop functioning if your license expires, is revoked, or cannot be verified within that window.
This is a license, not a sale. ixScale and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. No rights are granted to you other than those expressly stated in this Agreement.
2. Restrictions
You agree not to, and not to permit others to:
- copy, modify, or create derivative works of the Software;
- reverse engineer, decompile, or disassemble the Software, except to the extent applicable law expressly permits despite this restriction;
- rent, lease, lend, sell, sublicense, redistribute, or otherwise transfer the Software or your license to any third party;
- use the Software on more devices than your license permits, or share your account credentials;
- remove or alter any proprietary notices on the Software;
- use the Software to build a competing product; or
- circumvent or attempt to circumvent any license, activation, or usage limitation built into the Software.
Education licenses specifically
An Education License is intended solely for genuine, current students, professors, or staff at an accredited institution, for personal educational or academic use — not for commercial work. This requirement applies however the license was granted.
If you obtained your Education License by submitting evidence (an unofficial transcript, student/employee ID, or enrollment/employment letter), you represent that the evidence is genuine and accurately reflects your current status. If you obtained it through an institutional license pool, the pool administrator vouched for your eligibility rather than reviewing evidence, and you represent that you do in fact meet the criteria above.
Because a pool-granted license is issued without evidence review, ixScale may at any time require you to verify your eligibility individually by submitting evidence within the period stated in our request; a license whose holder does not verify within that period may be revoked automatically.
You agree to stop using your Education License, and to close your education account, once your qualifying affiliation ends (e.g., you graduate, or your employment ends). ixScale may revoke an Education License at any time it determines the eligibility criteria are not met, including for evidence that appears falsified or for a pool seat that should not have been granted.
3. Your Content and Designs
As between you and ixScale, you retain all ownership rights in the models, lattice structures, meshes, and other files you create using the Software (“Your Content”). We do not claim ownership of Your Content, and we do not access, transmit, or store Your Content on our servers — it remains on your device unless you choose to export or share it yourself.
Important — engineering and manufacturing use.
The Software is a design tool. It does not, and cannot, guarantee that any geometry, lattice structure, or mesh it generates is structurally sound, manufacturable, or fit for any particular physical application. You are solely responsible for independently verifying the structural integrity, manufacturability, safety, and suitability of any design before manufacturing, deploying, or relying on it in any real-world context, including through your own engineering analysis, physical testing, and professional review as appropriate. ixScale is not liable for any damage, injury, or loss arising from a part or structure manufactured or used based on output from the Software.
4. Fees and Payment
Commercial License fees are as agreed at the time of purchase, are due in the currency and manner specified, and are non-refundable except where required by law. Trial and Education Licenses are provided free of charge. ixScale may change its pricing for future purchases at any time; changes do not affect a Commercial License you've already paid for during its then-current term.
5. Term and Termination
This Agreement is effective from the moment you first install or activate the Software until terminated. Your license terminates automatically if it expires or is not renewed. ixScale may suspend or terminate your license immediately if you materially breach this Agreement, including by exceeding device limits, submitting false Education License evidence, or attempting to circumvent license enforcement. Upon termination, you must stop using the Software and uninstall it from all devices. Sections 2, 3, 4 (as to fees accrued before termination), 6, 7, 8, and 9 survive termination.
6. Warranty Disclaimer
The software is provided "as is" and "as available," without warranty of any kind, express or implied, including without limitation the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. ixScale does not warrant that the software will be uninterrupted, error-free, or free of harmful components, or that any output will meet your requirements.
7. Limitation of Liability
To the maximum extent permitted by law, ixScale will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to this agreement or your use of the software, even if advised of the possibility of such damages. ixScale's total aggregate liability arising out of or related to this agreement will not exceed the amount you paid ixScale for the software in the twelve (12) months preceding the claim, or, for a trial or education license, one hundred u.s. dollars ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
8. Export Compliance
You agree to comply with all applicable export and re-export control laws and regulations in your use of the Software, and represent that you are not located in, or a national of, any country subject to a U.S. government embargo, and are not on any U.S. government list of prohibited or restricted parties.
9. General
- Governing law. This Agreement is governed by the laws of the State of Colorado, USA, without regard to its conflict-of-laws principles. Any dispute not resolved informally will be brought exclusively in the state or federal courts located in Colorado, and you consent to their jurisdiction.
- Changes to this Agreement. We may update this Agreement from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, notify you directly. Continued use of the Software after a change takes effect constitutes acceptance.
- Assignment. You may not assign this Agreement or your license without our prior written consent. We may assign this Agreement in connection with a merger, acquisition, or sale of assets.
- Severability. If any provision of this Agreement is found unenforceable, the remaining provisions will remain in full effect.
- Entire agreement. This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and ixScale regarding the Software, and supersedes any prior agreements on this subject.
