Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the ixscale.com website, the account dashboard, and any related online services (together, the “Site”), operated by IxScale LLC, a Colorado limited liability company (“ixScale,” “we,” “us”). By accessing or using the Site, you agree to these Terms. If you don't agree, don't use the Site.

These Terms cover the website and your account. Your use of the ixScale desktop application is separately governed by our End User License Agreement, and our handling of your personal information is described in our Privacy Policy. Where those documents speak directly to a topic (e.g. software licensing, data handling), they control over these Terms.

1. Eligibility

You must be at least 13 years old to create an account or use the Site. If you are between 13 and the age of majority in your jurisdiction, you may only use the Site with the involvement of a parent or guardian, or as part of a school-affiliated use.

2. Your Account

Certain features require an account. You agree to provide accurate information when registering, to keep your password confidential, and to notify us promptly at support@ixscale.com if you suspect unauthorized access to your account. You are responsible for all activity that occurs under your account.

3. Acceptable Use

You agree not to, and not to permit others to:

• access or attempt to access another user's account, or our administrative systems, without authorization;
• create multiple accounts to obtain more than one free trial or to otherwise circumvent license or usage limits;
• submit false or falsified information or documents, including as evidence for an Education License application;
• use any automated system (bot, scraper, crawler) to access the Site, except a standard search engine indexer;
• probe, scan, or test the vulnerability of the Site, or attempt to bypass any security or authentication measure;
• upload or transmit viruses, malware, or other harmful code;
• impersonate any person or entity, or misrepresent your affiliation with any person or entity;
• interfere with or disrupt the Site or servers/networks connected to it; or
• use the Site for any unlawful purpose.

We may suspend or terminate your account for violating this section, in addition to any other remedy available to us.

4. Evidence You Submit for Account Verification

If you apply for an Education License, you may upload a document (an unofficial transcript, student/employee ID, or enrollment/employment letter) so we can verify your eligibility. This is not user-generated content we publish or reuse — it is reviewed only by our administrators for that specific purpose, and, as described in our Privacy Policy, is permanently deleted once a decision is made. We claim no license or ownership over anything you upload beyond what's needed to review it.

5. Intellectual Property

The Site, including its design, text, graphics, logos, and the “ixScale” name and marks, is owned by ixScale or its licensors and protected by intellectual property laws. Except for the limited access expressly granted by these Terms, you may not copy, modify, distribute, or create derivative works from the Site without our prior written permission.

6. Feedback

If you send us feedback, suggestions, or ideas about the Site or Software, you agree we may use them freely, without any obligation to you, and without any confidentiality restriction.

7. Third-Party Links

The Site may link to third-party websites or services we don't control. We are not responsible for their content, policies, or practices, and linking to them does not imply endorsement.

8. Disclaimer of Warranties

The site is provided "as is" and "as available," without warranty of any kind, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the site will be uninterrupted, secure, or error-free.

9. Limitation of Liability

To the maximum extent permitted by law, ixScale will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the site, even if advised of the possibility of such damages. Our total aggregate liability arising out of or related to these terms will not exceed one hundred u.s. dollars ($100).

Software-specific liability (for use of the desktop application) is addressed separately in our EULA.

10. Indemnification

You agree to defend, indemnify, and hold ixScale harmless from any claim or demand, including reasonable attorneys' fees, arising out of your violation of these Terms or your misuse of the Site.

11. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, notify you directly. Continued use of the Site after a change takes effect constitutes acceptance.

12. Governing Law

These Terms are governed by the laws of the State of Colorado, USA, without regard to its conflict-of-laws principles. Any dispute not resolved informally will be brought exclusively in the state or federal courts located in Colorado, and you consent to their jurisdiction.

13. General

• Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
• No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
• Assignment. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
• Entire agreement. These Terms, together with our EULA and Privacy Policy, constitute the entire agreement between you and ixScale regarding the Site.
